Affiliate Program Agreement
- 20% recurring commission on the eligible subscription amounts ScaleLounge collects from clients you refer.
- It starts with the client’s second qualifying monthly payment and continues while eligible payments continue.
- Open to eligible U.S. affiliates age 18 or older. Your link goes live after approval and a verified W-9.
- A link referral holds for 90 days from the first click; an accepted introduction holds for 365 days.
- Refunds and disputes adjust commission. Katie approves every payout.
- Every recommendation carries the disclosure: “I may earn a commission if you sign up through my link.”
This summary is here for convenience. The numbered sections below are the Agreement.
1. About This Agreement
This Affiliate Program Agreement (the "Agreement") is between ScaleLounge LLC ("ScaleLounge," "we," "us," or "our"), based in Scottsdale, Arizona, and you, the person applying to or taking part in the ScaleLounge Affiliate Program (the "Program"). It sets out how the Program works, what you can earn and what each of us agrees to.
This is version 2026-11-v1 of the Agreement. It takes effect for you on the day you accept it, by ticking the agreement box when you apply or by accepting it in your affiliate area. We keep a record of the version you accepted and when you accepted it.
Our Terms of Service and Privacy Policy also apply to your use of our websites and your account. If they conflict with this Agreement on anything about the Program, this Agreement applies.
2. Who Can Join
- The Program is currently available to eligible U.S. affiliates age 18 or older. You must be a resident of the United States and able to provide a completed IRS Form W-9.
- ScaleLounge reviews each application made from outside ScaleLounge. A current client who joins from their ScaleLounge portal may be approved straight away. ScaleLounge decides who is approved and may decline an application for any lawful reason.
- Each person may hold one affiliate account. You take part with your own ScaleLounge login, the same kind a client uses, and the details you give must be accurate and kept up to date.
- Your referral link goes live only after you are approved, you have accepted this Agreement and your W-9 has been received and verified. Referrals through your link are not recorded before then and earn nothing.
3. Commission
You earn a recurring commission of 20% of the eligible subscription amount ScaleLounge actually collects on each qualifying monthly payment from a client you referred.
- Eligible plans are the Social Essentials, Growth Partner, Scale Partner and Executive Partner subscriptions. An Executive Partner engagement earns 20% unless you and ScaleLounge agree in writing to a different percentage, or a fixed amount for each qualifying monthly payment, for that referral. An agreed arrangement applies from the day it is agreed, follows refunds in proportion, and never reduces commission already earned.
- The eligible amount is the subscription charge for an eligible plan as actually paid, after any discount or credit. It never includes taxes, one-time purchases, add-ons such as Brand Presence Setup, agency contracts, account balance applied to an invoice, or failed or test payments.
- Commission is calculated in U.S. dollars, to the cent, on each qualifying payment.
4. When Commission Starts
- A referred client’s first monthly payment earns no commission.
- Recurring commission starts with their second qualifying monthly payment, made at least 25 days after the first. That payment, and every qualifying monthly payment after it, earns commission.
- A qualifying monthly payment is a paid, recurring monthly invoice for an eligible plan, paid by the referred client for their own account. A prorated charge for a plan change in the middle of a billing period is not a qualifying payment. After an upgrade or a downgrade, the next full monthly payment on the new plan qualifies at the new plan’s amount.
- If the referred client stops paying before their second qualifying monthly payment, the referral earns nothing.
5. How Long Commission Continues
Commission continues on each qualifying monthly payment for as long as both of these are true:
- the referred client keeps making eligible paid subscription payments, and
- you remain eligible and in good standing under this Agreement.
When the referred client’s paid subscription ends, commission on that referral stops, and payments they make after it has ended do not earn commission on that referral. When your participation ends, section 25 says which payments still earn commission.
6. Referral Links and Attribution
- When someone first arrives at ScaleLounge through your referral link, the referral is recorded for 90 days from that first click, using the referral cookie described in our Privacy Policy.
- The first valid referral recorded for a business is the one that counts. A later click on another affiliate’s link, or a later introduction, does not replace it while it holds.
- A business can be credited to only one affiliate.
- Attribution is decided from ScaleLounge’s records. A visit ScaleLounge cannot record, for example because the visitor’s browser blocks or clears cookies, cannot be credited.
- ScaleLounge may review a referral before it counts, and may decline to credit one that does not meet this Agreement.
7. Introductions
- You may also introduce a business directly from your affiliate area. ScaleLounge reviews each introduction and may accept or decline it.
- An introduction ScaleLounge accepts holds for 365 days from the day it is accepted. An introduction that is not accepted within 60 days lapses.
- You may introduce only people who are happy to hear from ScaleLounge, and share only contact details you have permission to share.
- Up to 10 introductions can be sent in any 30-day period.
8. Existing Clients and Existing Opportunities
No commission is paid for a business that:
- is, or has been, a ScaleLounge client;
- was already in an active conversation with ScaleLounge, or already on record as a ScaleLounge lead, before your referral was recorded; or
- is otherwise excluded by this Agreement, such as a self-referral under section 9.
ScaleLounge decides these cases from its own records dated before your referral, and tells you when a referral is not credited.
9. Self-Referrals
You may not earn commission by referring yourself, a member of your household, your employer, your own company, any business or other entity owned or controlled by you or a member of your household, any business whose purchase you direct or control, or any sham, artificial or duplicate account. If you are a ScaleLounge client, your own subscription never earns commission, and commission is always paid out to you, never applied as a credit to your own invoice.
10. Refunds
Commission follows what ScaleLounge actually keeps. If a payment is refunded in part, the commission on it is reduced in proportion. If it is refunded in full, the commission on it is cancelled.
11. Chargebacks and Disputes
- While a payment is disputed (a chargeback), or flagged by our payment processor as possibly fraudulent, the commission on it is held until the matter is settled.
- If ScaleLounge loses the dispute, the commission on that payment is reversed.
- If a commission is reduced or reversed after it was paid to you, the difference is owed back. It is taken off your next payouts, or, if no payout is due, you agree to repay it on request where the law allows.
12. Payouts
- Commission becomes ready for payout once the payment that earned it has cleared and nothing is holding it, such as a dispute or a review.
- ScaleLounge approves every payout before it is sent. No payout is sent automatically. ScaleLounge’s approval is a check that a payout is correct, and is not withheld for commission earned under this Agreement.
- ScaleLounge sends commission within 14 days of the day it becomes ready for payout. ScaleLounge LLC sends it by bank transfer, by Zelle, or by Apple Cash where your Apple Cash terms allow you to receive business payments, to the payout details in your affiliate area.
- No payout is sent until your W-9 is verified and your payout details are on file. You are responsible for keeping them accurate, and ScaleLounge is not responsible for a payment sent to details you provided.
- Payouts are made in U.S. dollars. Any fee your own bank or payment app charges you is yours.
13. Taxes
- You are responsible for your own taxes on what you earn through the Program.
- A completed and verified Form W-9 is required before your referral link goes live and before any payout. ScaleLounge may withhold payouts until any tax documentation it needs is complete.
- ScaleLounge may use the information on your W-9 for any tax reporting the law requires. ScaleLounge does not give tax advice.
14. Independent Relationship
You take part as an independent party. Nothing in this Agreement makes you an employee, legal agent, partner, franchisee or joint venturer of ScaleLounge, or a representative authorized to bind ScaleLounge. You are responsible for your own expenses, and you receive no employee benefits.
15. No Authority to Act for ScaleLounge
You may not:
- enter into any contract on ScaleLounge’s behalf;
- offer custom pricing, discounts or terms other than those ScaleLounge publishes;
- promise any business, marketing or financial result;
- make any warranty or guarantee on ScaleLounge’s behalf; or
- negotiate terms as ScaleLounge or on its behalf.
ScaleLounge handles every sales conversation, price and agreement with the businesses you refer.
16. Disclosing Your Relationship
- Whenever you recommend ScaleLounge, you must clearly disclose your material relationship with ScaleLounge: that you may earn a commission. The U.S. Federal Trade Commission’s rules on endorsements require it.
- The disclosure must be easy to notice and read: next to the recommendation or link, and in the post, story or video itself, not only in a bio, a link page or the end of a long caption. In a video, the disclosure must be made in the video itself, not only in its description.
- The simplest wording for your link, which the marketing kit already includes, is: "I may earn a commission if you sign up through my link."
- When you introduce someone directly, the simplest wording is: "I may earn a commission if you become a ScaleLounge client through my introduction."
- When ScaleLounge contacts a business you introduced and mentions you, it tells them that you may be paid for the introduction.
- ScaleLounge may review how you promote ScaleLounge. If ScaleLounge asks you to correct or remove a post, message, ad or page, you agree to do so within 48 hours.
17. Marketing Claims
- You may promote ScaleLounge with the approved materials in your affiliate area and with your own honest words about your own experience.
- You may not make false, misleading or unsubstantiated claims about ScaleLounge, its services, its prices or its results.
- You may not promise guaranteed results, or make claims about what anyone can earn through the Program.
- Any price, plan or term you mention must match what ScaleLounge publishes.
18. Spam and Outreach
You must follow every law and platform rule that applies to how you promote ScaleLounge, including anti-spam and telemarketing laws such as the CAN-SPAM Act, the Telephone Consumer Protection Act and state telemarketing laws, including Arizona’s telephone solicitation statutes. Any email that promotes ScaleLounge must identify you as the sender, include your valid postal address and a working way to opt out, honor an opt-out request within 10 business days, and never go to anyone who has asked you or ScaleLounge not to email them. You may not:
- send unsolicited bulk email, text messages or direct messages;
- use automated messaging, calling or texting without the consent the law requires;
- use purchased, rented or scraped contact lists; or
- use deceptive subject lines, false identities or any other deceptive marketing.
19. Paid Ads and Trademarks
- You may not bid on "ScaleLounge," "Katie Lendel," or any misspelling or variation of them as a keyword in paid search or social advertising.
- Paid advertising that uses your referral link needs ScaleLounge’s written approval first. A referral that arrives through an unapproved paid ad may be held for review or not credited.
- No ad may appear to come from ScaleLounge, impersonate ScaleLounge or Katie Lendel, or mislead anyone about who is advertising.
- ScaleLounge’s name, logo and marks belong to ScaleLounge, and you may use them only as section 22 allows.
20. Domains and Social Identities
You may not register or use any domain name, social media account, username, page or profile that contains "ScaleLounge" or anything confusingly similar, or that is designed to look as if it belongs to ScaleLounge or Katie Lendel.
21. Fraud and Attribution Abuse
The following are prohibited, and each one is a material breach of this Agreement:
- cookie stuffing, or setting a referral cookie for anyone who did not knowingly click your link;
- fake clicks, fake visits or fake leads, including by bots or scripts;
- duplicate or false affiliate accounts;
- any attempt to manipulate attribution, such as hiding your link in pop-ups, frames or invisible elements;
- self-dealing, including referrals arranged to earn commission on your own spending; and
- fraudulent transactions or payments of any kind.
Commission connected to any of these is not earned, and ScaleLounge may recover it if it was already paid.
22. Marketing Materials
ScaleLounge grants you a limited, non-exclusive, non-transferable and revocable license to use the approved marketing materials in your affiliate area, and ScaleLounge’s name and logo as they appear in them, only to promote ScaleLounge under this Agreement. You may not alter them in a way that changes their meaning, remove the disclosure from them, or use them for anything else. The license ends when your participation ends, or when ScaleLounge withdraws a material, and you agree to stop using the material then.
23. Confidentiality and Privacy
- Information about the businesses you introduce, and any non-public information you learn about ScaleLounge or its clients through the Program, may be used only for the Program, and you may not share or misuse it.
- You are responsible for following the privacy laws that apply to the information you collect and share.
- Your referral reports show how your referrals are progressing. They give you no right to a referred client’s personal or business information.
- ScaleLounge handles personal information, including your application, your W-9 and your payout details, as described in its Privacy Policy.
24. Changes to the Program and This Agreement
- ScaleLounge may change the Program or this Agreement going forward. It will post the new version on this page with a new version number, and tell you by email or in your affiliate area before a material change takes effect.
- A change never reduces commission already earned on legitimate qualifying payments made before it takes effect. A change to the commission rate or to the referral windows applies to referrals recorded after it takes effect; referrals already recorded keep the terms they were recorded under.
- If a change is material, ScaleLounge may ask you to accept the new version, and your referral link may pause until you do. Each version you accept is kept on record, and a later version never replaces the record of what you agreed to before.
25. Pausing and Ending Your Participation
- You may leave the Program at any time by emailing katie@scalelounge.com.
- ScaleLounge may pause your account, hold commission for review, or end your participation if it reasonably believes you have committed fraud or abuse or have materially breached this Agreement. ScaleLounge may also end the Program, or your participation, for any other reason with reasonable notice.
- While your account is under review, commission on new payments is held until the review ends. A review hold lasts no more than 90 days, after which commission not connected to the conduct under review is paid.
- When your participation ends, your referral link stops working, and payments made after the end date earn no commission, except as the next point says.
- If ScaleLounge ends the Program or your participation for a reason other than your breach, commission continues on qualifying payments from clients you referred before the end date for 12 months after the end date.
- If your participation ends without any breach on your part, commission already earned on qualifying payments made before the end date is paid as usual, subject to sections 10 and 11.
- If your participation ends because of fraud or a material breach, commission connected to that conduct is not paid, ScaleLounge may withhold other unpaid commission for up to 90 days while it reviews what happened, and ScaleLounge may recover commission already paid for that conduct.
26. Disclaimers, Limitation of Liability and Indemnity
The Program is provided "as is." ScaleLounge does not guarantee that you will earn any commission, that any business you refer will become or remain a client, or that the Program, your referral link or your affiliate area will always be available or free of errors.
To the fullest extent permitted by law, ScaleLounge is not liable for any indirect, incidental, special or consequential damages arising out of the Program, and its total liability to you under this Agreement is limited to the commission earned and owed to you that has not yet been paid.
You agree to defend, indemnify and hold harmless ScaleLounge LLC and its owner from any claim, fine, penalty, loss or reasonable attorney’s fees arising from your promotion of ScaleLounge, your breach of this Agreement, or your violation of any law, including the FTC Act, the CAN-SPAM Act, the Telephone Consumer Protection Act and state telemarketing and privacy laws.
27. Governing Law and Disputes
This Agreement is governed by the laws of the State of Arizona, in the United States, without regard to its conflict-of-law rules.
If a dispute arises about the Program or this Agreement, either of us may raise it with the other by email, and we will both try in good faith to resolve it informally within 30 days. A dispute that is not resolved that way will be decided in the state or federal courts located in Maricopa County, Arizona, and you and ScaleLounge each agree to the jurisdiction of those courts.
28. General
- This Agreement, any written arrangement for an Executive Partner referral under section 3, the Terms of Service and the Privacy Policy are the whole agreement between you and ScaleLounge about the Program.
- If any part of this Agreement is found unenforceable, the rest stays in effect.
- If ScaleLounge does not enforce a term straight away, it has not waived it.
- You may not transfer this Agreement or your affiliate account to anyone else. ScaleLounge may transfer it as part of a sale or reorganization of its business.
- Notices to you go to the email address on your affiliate account. Notices to ScaleLounge go to katie@scalelounge.com.
- Sections 10, 11, 12 (for commission earned before the end date), 13, 19, 20, 21, 23, 25, 26 (including the indemnity), 27 and 28 continue after your participation ends.
